Vofio — Google Maps Management Service Agreement
Effective Date: The date of signup below.
This agreement (“Agreement”) is between Tao Digital Marketing Ltd, trading as Vofio (Company No. 10753516), registered at Office 2.04, The Wellsprings, Howell Croft South, Bolton, BL1 1SB (“we”, “us”, “Vofio”) and the business or individual completing this signup form (“you”, “the Client”).
1. Service Description
We will manage and optimise your Google Business Profile (“GBP”) with the goal of improving your local search visibility on Google Maps. The service includes: profile optimisation, review monitoring and response support, automated review request setup, Google Business chat integration, missed-call text-back setup, local SEO activity, and monthly performance reporting.
2. Top 3 Ranking Guarantee
We guarantee that your GBP will appear in the top 3 of Google Maps results for at least one of your agreed target keywords within 3 calendar months of the service start date. If this is not achieved within that period, we will continue to manage your profile at no charge until the ranking is achieved, or issue a full refund of all fees paid to date — whichever you prefer. This guarantee applies to organic Google Maps pack results only, not paid/sponsored placements, and is subject to you providing reasonable access and cooperation as outlined in Section 6.
3. Fees & Payment
The service fee is £199 per calendar month, plus VAT at the prevailing UK rate (currently 20%). Payment is collected via Stripe on a recurring monthly basis. Your first payment is taken at signup, and subsequent payments are taken on the same date each month. All fees are non-refundable except as provided in Section 2 (Ranking Guarantee) or Section 5 (Cancellation).
4. Billing & Late Payment
If a recurring payment fails, we will retry the charge and notify you by email. If payment remains outstanding for more than 7 days, we reserve the right to pause the service until the balance is settled. We may charge interest on overdue invoices at 4% above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Cancellation
Either party may cancel this agreement by giving 30 days’ written notice via email to the other party. Upon cancellation: (a) no further monthly charges will be taken after the end of the current billing period; (b) we will remove any access we hold to your GBP within 7 days of the cancellation date; (c) you will retain full ownership and control of your Google Business Profile at all times.
6. Client Responsibilities
To deliver the service effectively, you agree to: (a) provide us with Owner or Manager access to your Google Business Profile within 5 working days of signup; (b) respond to reasonable requests for information within 5 working days; (c) not make changes to the GBP that conflict with our optimisation work without prior discussion; (d) ensure the business information you provide is accurate and up to date.
7. Intellectual Property & Profile Ownership
Your Google Business Profile remains your property at all times. Any content we create for your profile (descriptions, posts, responses) is created on your behalf and ownership transfers to you. We retain the right to reference the work in our portfolio and case studies, anonymised where requested.
8. Limitation of Liability
Google Maps rankings are influenced by many factors outside our control, including Google algorithm changes, competitor activity, and the accuracy of your business information. While we commit to best-practice optimisation and stand behind our ranking guarantee, we do not guarantee specific business outcomes such as revenue, call volumes, or customer acquisition beyond what is stated in Section 2. Our total liability under this Agreement shall not exceed the total fees paid by you in the 3 months preceding any claim.
9. Data Protection
We will process your personal and business data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Data collected through this form and during the service is used solely for delivering and improving the service. We will not share your information with third parties except where necessary to deliver the service (e.g. Stripe for payment processing). You may request access to, correction of, or deletion of your data at any time by contacting us at hello@vofio.com.
10. Confidentiality
Both parties agree to keep confidential any commercially sensitive information shared during the course of this agreement. This obligation survives termination of the agreement.
11. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation in the first instance. If a resolution cannot be reached within 30 days, the dispute may be referred to mediation. This Agreement shall be governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
12. Amendments
We may update these terms from time to time. Any material changes will be communicated to you by email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
